Terms of Service

These Terms of Service ("Terms") govern any invoice, statement of work, order form, or engagement (each, an "Agreement") between Universal Syntax, LLC ("Universal Syntax," "we," "us," or "our"), including any of its assumed or "doing business as" names, and the client identified on the applicable invoice or Agreement ("Client," "you"). By engaging Universal Syntax for services, or by accepting an invoice or statement of work, you agree to be bound by these Terms.

1. Payment & Late Fees

Payment is due strictly according to the terms specified on the face of the invoice (e.g., Net 30). Universal Syntax, LLC reserves the right to assess a late payment fee of 1.5% per month (or the maximum allowable by law, whichever is lower) on all past-due balances.

2. Intellectual Property

Unless explicitly agreed upon otherwise in a separate written contract, all rights, titles, and interests in any digital assets, code, configurations, or deliverables produced by Universal Syntax, LLC remain the exclusive property of Universal Syntax, LLC until this invoice is paid in full. Upon full payment, ownership or usage rights transfer to the Client as governed by the primary service agreement.

3. Termination or Interruption of Service

For ongoing or subscription-based services, Universal Syntax, LLC reserves the right to suspend or terminate services, hosting, domain routing, or project deployment if any associated invoice remains unpaid past its designated due date.

4. Limitation of Liability

In no event shall Universal Syntax, LLC be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or revenue) arising out of or in connection with the services provided. Total liability under this invoice shall not exceed the aggregate dollar amount actually paid by the Client to Universal Syntax, LLC under this specific invoice.

5. Governing Law

These terms, and all claims or disputes arising out of them, shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law principles.

6. Changes to These Terms

We may update these Terms from time to time. Changes apply prospectively to invoices and Agreements issued after the updated Terms are posted; the version in effect at the time an invoice or Agreement is issued governs that engagement.
